CAC ISSUES FINAL AUGUST 1 DEADLINE AS COMPANIES FACE MANDATORY LETTERHEAD COMPLIANCE

The Corporate Affairs Commission (CAC) has directed all registered companies to comply with statutory requirements governing business letters before August 1, 2026, warning that sanctions will be imposed on organisations that fail to meet the deadline.

In a public notice, the commission said the enforcement is based on Sections 304(1) and (2) as well as 729(1)(c) of the Companies and Allied Matters Act (CAMA) 2020. The directive applies to all companies registered under the current law and those established under previous legislation.

Under the provisions of the Act, companies are required to include on their business letters the present forename or initials and surname of each director, any former names where applicable, and the nationality of every director who is not a Nigerian.

Businesses must also clearly display their registered company name, registration number and registered office address on all official business correspondence.

The commission stated that full enforcement of the legal requirements will begin on August 1, 2026, with penalties awaiting companies that fail to comply with the regulations.

The CAC advised businesses to review and update their letterheads and other official documents to ensure they satisfy the legal requirements before the enforcement date.

According to the commission, the initiative is aimed at improving corporate transparency, ensuring accurate disclosure of company information and strengthening compliance with the Companies and Allied Matters Act 2020.

The commission also reaffirmed its commitment to promoting accountability, transparency and efficient corporate regulation while fostering a stronger and more responsive business environment.
